1. Eligibility and Reseller Certificates

To participate in our wholesale program, you must be a
licensed business, organization, or reseller. A valid reseller certificate
must be provided before your first order is processed. Failure to provide a
current and valid reseller certificate may result in the collection of sales
tax on all orders.

2. Sales Tax

We do not charge sales tax on wholesale orders, provided
that a valid reseller certificate is on file. If a certificate is not provided
or becomes invalid, applicable sales tax will be collected based on your
shipping address.

3. Pricing and Payment Terms

All prices listed are wholesale prices and are subject to
change without notice. Full payment is due upon placing the order. We accept major credit cards, ACH payments, and shop pay. Orders may be subject to additional shipping, handling, and processing fees which will be calculated and any additional fees will be shown at checkout.

4. Order Confirmation and Fulfillment

Orders are processed on a first-come, first-served basis,
and product availability is subject to change. You will receive an order
confirmation via email once your order has been successfully placed. We reserve the right to cancel orders due to errors, stock unavailability, or other
unforeseen issues.

5. Final Sale Policy

All wholesale orders are FINAL SALE. No returns, exchanges, or cancellations will be accepted once an order is placed. Unless you receive a damaged item only then will we issue a replacement, store credit, or refund for the item damaged. Please
review your order carefully before submission to ensure accuracy.

6. Shipping and Delivery

Shipping fees will be calculated and added at checkout. All products are shipped FOB (Free on Board), meaning the risk of loss and
title for the products pass to you upon delivery to the carrier. It is your responsibility to inspect the products upon receipt and report any damages within 5 business days.

7. Damaged or Defective Products

In the event that products are received damaged or defective, you must notify us within 5 business days of receipt, providing
photographs and a description of the damage. We will work with you to determine the appropriate course of action, which may include replacement or a credit, at
our discretion.

8. Limitation of Liability

Under no circumstances will Manymoons Co. be liable
for indirect, special, incidental, or consequential damages, including but not limited to loss of profits, arising out of or related to your use of the products purchased through our wholesale program.

9. Governing Law

These Terms and Conditions are governed by and construed in
accordance with the laws of the state of Delaware. Any disputes arising from these terms
will be resolved exclusively in the courts of the State of Delaware.
